Registration Information
1. Issued capital/paid-up capital
The Company Law stipulates that the issued and paid-up capital for the establishment starts at S$1 (it can also be US dollars). Shareholders can decide to increase the registered capital and paid-up at any time provided that they fill in the form and pay at the registry office. Issuing capital represents the maximum amount of share capital that the company can issue to shareholders. The company can issue shares within this limit and require shareholders to pay one or multiple times for subscribed shares. Subscribed and fully paid-up stocks are the company's paid-up capital.
2. Documents to be submitted for establishment:
1) Articles of Association; 2) Directors’ affidavit of compliance; 3) Identity certificate; 4) Director’s appointment letter and qualification affidavit; 5) Company registered address and its office hours report form.
In addition, company directors, legal secretary and auditors, tax agents and etc. must be reported within three months after establishment of the company.

Within 3 months after establishment, a registered accounting firm must be appointed as the company auditor. The auditor's task is to review independently the company's financial statement and submit an audit report during annual settlement. Private companies with income of S$5 million or less will be exempt from annual audits.
5. Company secretary
Within 6 months after the establishment of the company, a company's legal secretary must be appointed. His/her responsibilities include:
1) Submit in time the reports and forms required by the Company Law to the Registrar from the Commercial Registration Office;
2) Keep properly the company name and meeting records;
3) When necessary, sign and confirm each contract and board of directors resolution;
4) Ensure company documents are properly stamped with the company seal;
6. The company's legal registered address:
The company must have a legal registered address. Changes on address or name of the office location must be notified to the Registry 14 days in advance.

Common Problem
1.Requirements for shareholders and directors of Singapore companies
Any person or company can invest in establishing a Singapore company. There must be at least one director over 18 years old,the new director must meet one of the following requirements:
1) Singapore citizenship
2) Singapore permanent residency
3) Employment pass holders (for more than 1 year)
4) Basically approved employment pass holders or relatives pass holders (passes more than 1 year)
5) Shareholders can be natural or legal persons
